VM Parkway, LLC and Karl Augenstein v. Metacomet Investors, LLC

Rhode Island Superior Court, Providence County
Case No. PC-2020-03841

Attorney Bilodeau served as lead trial counsel representing VM Parkway, LLC and Karl Augenstein in complex commercial litigation concerning ownership interests in Metacomet Investors, LLC, a real estate investment and development entity.

The litigation involved disputes over the interpretation and enforcement of the company’s operating agreement, membership units, capital contributions, dilution of ownership interests, and the allocation of distributions among members.

The case required examination of the parties’ contractual rights, ownership arrangements, financial contributions, and the effect of disputed transactions upon their respective membership interests.

Following trial, the Rhode Island Superior Court entered findings in favor of VM Parkway and Augenstein on claims involving their contractual and membership rights.

The Court determined that the plaintiffs were entitled to declaratory and monetary relief arising from the disputed ownership arrangements and contractual obligations.

The litigation resulted in monetary awards of $804,969 to VM Parkway, LLC and $167,798 to Karl Augenstein, subject to the terms of the Court’s decision and any subsequent proceedings.

The matter illustrates Attorney Bilodeau’s experience litigating disputes involving closely held companies, limited liability company operating agreements, membership interests, capital contributions, and substantial commercial financial obligations.

Karten v. Proclamation Ales, LLC and Estate of David Witham

Rhode Island Superior Court

Attorney Bilodeau also served as lead trial counsel in complex business ownership litigation involving Proclamation Ales, LLC, a Rhode Island brewery, and disputes concerning the rights and obligations of its members.

The litigation involved the interpretation of multiple limited liability company operating agreements, a membership interest agreement, contractual redemption provisions, voting and management rights, and the legal consequences of a member’s death.

The case presented questions concerning the enforceability of contractual ownership provisions, member dissociation, the relationship between successive operating agreements, and the parties’ respective rights under Rhode Island limited liability company law.

The litigation required detailed examination of the company’s contractual arrangements, ownership history, financial transactions, and the conduct of its members.

Following trial, the Superior Court addressed contested issues concerning membership rights, dissociation, and the interpretation and enforcement of the governing agreements. Additional issues concerning damages on counterclaims were reserved for further proceedings.

The case demonstrates Attorney Bilodeau’s experience litigating complex disputes involving closely held businesses, succession of ownership interests, member rights, contractual interpretation, and contested corporate governance.
